Business Continuity Plan of RiverCross Securities, LLLP

RiverCross Securities, LLLP (“RCSL”) maintains a Business Continuity Plan (”BCP”) which we believe to be consistent with regulatory and general business requirements. We are providing this disclosure statement, which summarizes our BCP to those who interact with RCSL. Our BCP is reviewed annually but may be updated at any time.

RCSL does not carry or introduce any customer accounts at this time. Our sole business purpose is to operate the Alternative Trading System (ATS), RiverCross, for a broker-dealer clientele. We have an arrangement with Merrill Lynch Professional Clearing Corporation ("MLPro," http://corp.bankofamerica.com) to provide, to the extent needed, clearing and settlement services. Both RCSL and MLPro maintain copies of execution and clearing records of our client firms. In the event of a business disruption to one, we believe the other would be able to provide near continuous access to any information needed to settle outstanding contracts. 

Our clearing firm, MLPro, maintains a BCP and provides this statement: Client Disclosure for Business Continuity (PDF). Further, MLPro will notify RCSL of any disruption and whether it has or intends to execute any part of its plan. Like RCSL, MLPro reviews its BCP no less than annually and has tested its systems pursuant to its plan.

Our BCP calls for, in the event of a disruption, an assessment by our CEO or CFO, either of which will determine what, if any elements of our plan, will be executed. Our goal is to resume and continue operations as quickly as possible. We have analyzed disruptions which may occur locally or regionally, and, which may effect our systems and physical “plants.” Our BCP includes provisions for physical realignment of our operations. However, there may be disruptions so severe as to render recovery impracticable. Relatedly, we offer the following:
